TERMS & CONDITIONS

The following Terms and Conditions of Service apply to all artwork, illustration, graphic design, branding and services provided by Lauren Reis.

By requesting me to work for you, the work is carried out by Lauren Reis on the understanding that the client agrees to abide by Lauren Reis’s terms and conditions unless otherwise arranged by the client in writing.

 

PROJECT ACCEPTANCE/ESTIMATE/TERMS & CONDITIONS

At the time of a clients initial project request, Lauren Reis will provide the customer with a price/estimate email. The email containing the price/estimate will also contain a request and a link for a prospective client to read these terms and conditions.

 

If a client requests the start of the project after receiving the price/estimate email, Lauren Reis will accept this as the client having approved the price/estimate and also the terms and conditions.

FEES & WHAT THEY INCLUDE

Fees are supplied as two types.

1. STANDARD FIXED FEES (please view fees here)

These can be found on this website. Fixed fees are only applied when the prospective client can provide the following, and enter them into the shared Dropbox folder that will be set up by Lauren Reis on project start:

 

Brand guidelines

Brand guidelines or previously produced items you want me to mimic. Fixed rate artwork is only offered to clients who already have a set of brand guidelines as fixed prices do not cover creative design, only structural artwork layouts.
Brand guidelines/previous samples should guide me on font use, colours (Pantone, CMYK and RGB), design assets, and style.

Brief

Please provide a brief containing: What you need me to do, what it’s for, format required, deadline


 

Dimensions/cutter guides

Please provide either of the below, depending on the nature of the project:

 

  • Dimensions (if simple, i.e. roundels, barkers, leaflets)

  • Cutter guide (when a complex structure, i.e. packaging, units, SRPs). Cutter guides should be requested by you from the manufacturer/printer and sent to Lauren Reis before starting layout work. If the cutter changes once the layout has been created there will be an additional fee.


  • Advert specification From publisher if creating an advert, editorial, etc.

Images must be of a quality suitable for use. Lauren Reis will not be held responsible for any image quality which the client later deems to be unacceptable if that image has been supplied by the client. Images supplied by clients are assumed to be free to use without fear of breach of copyright laws.

Copy/text content

All copy to be incorporated into your layout must be supplied at the start.
All copy to be edited down, proof-read and approved.
Copy supplied in word or Excel as editable text (if for product information/specifications, nutritional information, etc. organised by row/column)

 

Barcodes


Please supply barcodes as high resolution vectors, eps. or pdf.
Jpegs and pngs will provide poor quality scanning.


 

Fonts

Please supply all fonts

 

Logos

All logos to be provided as high resolution vectors, eps. or pdf.

 

2. BRAND AND DESIGN FEES (please view fees here)

Fees for brand and design are per day.

 

The fee is inclusive of all discussions in preparation of your project - whether it's creating a corporate brand, sub-branding, new range or hero product for Christmas, or a full brand refresh.

 

Discussions will cover market information/general market you are within and where you want to go, sales and marketing objectives, target customers, direct competitors, distributors, any current feedback you have received on your brand, if you're trying to pitch your product to, e.g. Holland & Barrett or Boots.

The creative work will start and design directions will be provided, regularly, on a review-amend-supply loop. This process is normally done by booking 1 day per week, over a number of weeks - giving clients the time to review proposals with their colleagues or conduct focus groups with consumers before moving to the next amend stage.

After brand and design work has reached sign off and a client is happy with the new look and feel (for the brand, product or range), they may then wish to proceed to the production of artwork for print or online to reflect the new look and feel, i.e. packaging, POS items or 3D mock ups. These items would be done at a fixed fee rate upon request.

Please note that all work created on the brand and design day is to 'communicate an idea' from Lauren Reis to the client ONLY. No files are for use or reproduction by clients, e.g. If a 3D mock up has been provided during the brand process to help the client visualise a new product or range, this file is used to 'communicate an idea' between Lauren Reis and the client ONLY and does not make a client exempt from the fixed fees. If clients require specific items producing or providing, please view fixed fee rate.

3. ADDITIONAL EXPENSES

The customer agrees that additional amends to files will be liable to a separate charge. Additional expenses may be incurred for administration costs if a client does not follow the recommended routes to keep their costs low, file requests in various formats, photography, art direction, photography searches, media conversion, digital image processing, or data entry services.

SIGN-OFF

The client will be asked to provide artwork sign off at the end of the artwork or brand design process. Sign off will be interpreted by Lauren Reis that all elements of the design, layout or illustration have been fully checked. Due to the nature of design, client must re-check all elements, even those not previously requested for change, due to possible movements in the artwork during the amending process.

Lauren Reis considers the design project complete upon receipt of the customer’s sign off of the artwork.

Sign-off of final print proofs is the complete responsibility of the client.
 

DEADLINES

Lauren Reis will not be held responsible for passing the clients deadline if timely supply of information by the client has not been provided.

 

DURATION

Any indication given by Lauren Reis of a design project’s duration is to be considered by the customer to be an estimation. Lauren Reis cannot be held responsible for any project over-runs, whatever the cause.

 

PAYMENT

After sign-off, the client will be provided with an invoice for the amount owing. This is to be paid within 7 days. If this doesn't align with a clients payment run, it should be discussed this with Lauren Reis before project start.

 

All payments are to be made by BACS. The details of the payment account can be found on all invoices. If there is a problem paying by BACs, this must be highlighted before project start.


 

Payment is done in stages throughout your project. If a client has booked a branding day, on the completion of that worked day, that day becomes payable and payment must be received and cleared before moving onto the next booked day. The next booked day can not take place until the previous booked day has been paid and has cleared. Please plan this into your schedule.

 

For fixed rate work, depending on the amount of items required, part payments may be requested during key stages to ensure clients accounts are kept to a reasonable limit. This especially applies to new accounts.

Some clients may be requested to pay for their project prior to work commences.

 

DEFAULT

For all projects, customers are expected to have the required funds to pay at the time of billing.

An account shall be considered default if it unpaid for 14 days from the date of invoice.

Invoices which remain outstanding 14 days after the date of invoice, will be charged 10% per day of the amount outstanding.

All work remains the property of Lauren Reis until the invoice relating to the product is paid and cleared. This means that Lauren Reis is entitled to remove access or delete files. Removal or deletion of materials does not relieve the clients obligation to pay the due amount or additional charges.

Customers whose accounts become default agree to pay Lauren Reis the additional cost of legal expenses and third-party collection agency fees in the enforcement of these Terms and Conditions.


COPYRIGHT AND TRADEMARKS

 

Client copyright

All individual elements supplied by the client remains the client’s property.

 

Third party suppliers

If the material the client has supplied has come from a third party supplier, it will be assumed to be free to use without fear of breach of copyright laws; that they have purchased the rights from a third party or are now the rightful copyright or trademark owner. The customer agrees to fully indemnify and hold Lauren Reis free from harm in any and all claims resulting from the customer in not having obtained all the required copyright, and/or any other necessary permissions.


 

Lauren Reis copyright

All elements created by Lauren Reis remains under the copyright and intellectual property of Lauren Reis. This covers new marketing opportunities, new designs, new ideas during preliminary stages, new and better ways to use a clients assets, new colour options, new illustrations, new copy and written content and all master files to a client project that have been developed using the intellectual property and skill of Lauren Reis. Strictly, no original files are included in any project and are costed as a separate and additional request.

Where Lauren Reis has used third party suppliers for, i.e. fonts, Lauren Reis holds the necessary permissions to use them within her work. Upon the supply of artwork to the client at the end of the project, the client may need to purchase these items so they are also granted the permission of use.

 

If multiple design concepts are submitted by Lauren Reis to the client during preliminary design stages, only the signed off idea is allowed to be used by the client as fulfilling the contract. No others can lawfully be used by the client.

 

EXCLUSIVE USAGE LICENSE

By commencing work with Lauren Reis, you understand that Lauren Reis is STRICTLY the sole copyright owner of ALL work created by Lauren Reis on behalf of clients. This is the law. When clients pay for the services of Lauren Reis, they are strictly under the agreement of an 'Exclusive Usage License' to a REPRODUCTION file which allows them to PUBLISH Lauren Reis’s designs, ideas and/or illustrations ONLY through the methods they have disclosed upon project inception.

 

The client can only use this file for the publishing purpose it was intended at time of briefing. It is unlawful for the client to edit, modify, re-use, or re-distribute the file in any other way, unless permissions are granted by Lauren Reis in writing.

 


Full copyright can be passed to the client upon written agreement and full payment. This will provide the client with the original source files and the full right to edit and re-use. Copyright is dealt with as a separate service and is not included as standard.

 

OBTAINING COPYRIGHT

The copyright for items created by Lauren Reis, will remain the property of Lauren Reis until the client requests copyright. Upon this request, the client will be supplied with:

 

1. A written agreement titled ‘Copyright Transfer’ and

2. An invoice containing the cost of copyright transfer, titled ‘Copyright Transfer’.

 

To avoid doubt, all other communications or documents regarding copyright do not represent copyright transfer. When payment has been made in full by the client, copyright will become the property of the client and original files will be transferred.

 

Design Credits

The customer agrees to allow Lauren Reis to place a small credit on the materials that have been created by Lauren Reis and the client has not paid for 'Copyright Transfer'. This will usually be in the form of 'Design by Lauren Reis, Copyright © 2020'. The customer also agrees to allow Lauren Reis to place any of the designs on the Lauren Reis website and in her portfolio to publicise future business.

 

 

Rights of Refusal

Lauren Reis will not include in its designs, any text, images or other data which it deems to be immoral, offensive, obscene or illegal. All advertising material must conform to all standards laid down by all relevant advertising standards authorities.

 

Cancellation

Cancellation of orders must be made to Lauren Reis in writing. The client will be immediately invoiced for all work completed to date.

 

Disclaimer

Lauren Reis makes no warranties of any kind, express or implied, for any and all products and/or services that she supplies. Lauren Reis will not be held responsible for any and all damages resulting from products and/or services it supplies. Lauren Reis is not responsible for any loss, or consequential loss of data, or non-delivery of products or services, of whatever cause. While she takes reasonable steps to investigate the materials she recommends, she accepts no responsibility for the performance or quality of materials or any consequential loss arising from their failure. The customer agrees not to hold Lauren Reis responsible for any such loss or damage. Any claim against Lauren Reis shall be limited to the relevant fee(s) paid by the customer.

 

General

These Terms and Conditions supersede any previous Terms and Conditions distributed in any form. Lauren Reis reserves the right to change any rates and any of the Terms and Conditions at any time and without prior notice.
